Re: The payment of dividend and schedule of the Annual General
Shareholders' Meeting.
Noble Development Public Company Limited (the "Company") would like to inform
that the Board of Directors' Meeting held on March 18, 2010 passed the
material resolutions as follows:
1. Unanimously approved to pay annual dividend for the year 2009 of Baht
0.36 per share to the shareholders. The record date to determine shareholders'
names who have the rights to receive the dividends will be on May 4, 2010,
according to Section 225 of the Security and Exchange Act,and the closing date
of shareholder register book will be on May 6, 2010.The dividend payment
date will be on May 17, 2010. Unanimously approved to allocate 5 percent of
the Company's net profit for the year 2009 to the legal reserve fund.
2. Unanimously approved to propose to the Annual General Shareholder's
Meeting to re-appoint the Company's directors who will retire, Mr. Thongchai
Busrapan, Mr. Narong Taychachaiwong and Mr. Somchai Supattarakul.
To comply with good corporate governance practice, the Company
invited shareholders to propose qualified candidate to be nominated as the
director for the Annual General Shareholder's Meeting for the year 2010. One
shareholder proposed one person for election as director, after a review of
the criteria and qualifications, the nomination committee proposed the said
person to the board of directors that the board of directors considered not to
propose the said person for election of the Company's directors at this Annual
General Shareholders' Meeting. However, the nomination committee will request
more information from the said person including the qualifications for
consideration in case the Company would like to recruit addition directors in
the future.
and unanimously approved to propose to the Annual General
Shareholder's Meeting to approve the directors' remuneration for year 2010 as
follows:
1.The Board of Directors not exceed 2,000,000 per year
2.The Chairman of Audit Committee 380,000 per year
3.The Audit Committee 300,000 per person per year
4.The Nomination Committee 50,000 per person per year
5.The Remuneration Committee 50,000 per person per year
3. Unanimously approved to propose to the Annual General Shareholder's
Meeting to appoint Mr. Sudwin Panyawongkhanti Certified Public Accountant
(Thailand) No.3534, Mr. Kajornkiet Aroonpirodkul, Certified Public
Accountant (Thailand) No.3445 and Mrs. Anutai Poomsurakul, Certified Public
Accountant (Thailand) No.3873 of PricewaterhouseCoopers ABAS Limited as the
Company's and its subsidiaries' auditors, any one being authorized to conduct
the audit and express an opinion on the statutory financial statements of
the Company and its subsidiaries. In the absence of the above-named
auditors, PricewaterhouseCoopers ABAS Limited is authorized to identify one
other Certified Public Accountant with PricewaterhouseCoopers ABAS Limited to
carry out the work. Unanimously approved to propose to the Annual General
Shareholder's Meeting to approve audit fees of the Company and its
subsidiaries for year 2010 are not exceeding the total of Baht 2,975,500.
4. Unanimously approved the date for the Annual General Shareholders'
Meeting for the year 2010 on Friday, April 23, 2010, at 10.00 am., at
Campus Room, LL Floor, Grand Hyatt Erawan Hotel, Rajdamri Road, Bangkok.
The record date to determine shareholders' names for the right to attend
the annual general shareholders' meeting for the year 2010 will be on April 1,
2010, according to Section 225 for the Security and Exchange Act, and the
closing date of shareholder register book will be on April 2, 2010. The
agendas of the meeting are as follows:
Agenda 1 Consideration and certification of the minutes of the Annual General
Shareholders' Meeting for the year 2009.
Agenda 2 Consideration and acknowledgment of the Company's operating
performance for the year 2009.
Agenda 3 Consideration and approval of Company's audited balance sheet
and profit and loss statements for the fiscal year ended
December31,2009.
Agenda 4 Consideration and approval of the annual dividend payment and the
allocation of the Company's net profit for the year 2009 to the
legal reserve fund.
Agenda 5 Consideration and election of the Company's directors to replace the
directors who will retire and approval of the directors' remuneration
for the year 2010.
Agenda 6 Consideration and appointment of the Company's auditor and
audit fees for the year 2010.
Agenda 7 Other matters (if any).
