December 16, 2004 To : President The Stock Exchange of Thailand Re: Notification of the resolutions of the Board of Directors' Meeting Noble Development Public Company Limited (the Company) would like to inform you that the Board of Directors' Meeting No.12/2547 held on December 16, 2004 passed the resolutions as follows: 1.According to the resolutions of the Board of Directors' Meeting, regarding the disposal of 15% of investment or 7,500 shares in Playground Store Company Limited, the Company's subsidiary, which was notified to the Stock Exchange of Thailand on September 14, 2004. Noble Development Public Company Limited would like to inform that, to the benefit of business management, the Board of Directors unanimously resolved to cancel the said disposal. Therefore, the Company holds 85% of investment in Playground Store Company Limited. 2.Unanimously resolved to invest in newly issued ordinary shares of Playground Store Company Limited at 85% of the increased registered capital or 170,000 shares at Baht 100 per share, totaling Baht 17,000,000.
