July 15, 2002 To: Warrant Holders of Noble Development Public Company Limited Re: Information regarding the subscription of the last exercise of warrants (NOBLE-W1) Noble Development Public Company Limited would like to inform the procedures of exercise right of the warrants to purchase the Company's ordinary shares (NOBLE-W1) which is the last exercise as follows: 1. Total number of warrants : 182,713,026 units 2. Exercise price and Exercise ratio : 1 unit of warrant to 1 ordinary share at Baht 6 per share 3. The date to suspend the warrant trading : The Stock Exchange of Thailand has posted "SP" sign to suspend the warrant trading since July 11, 2002 4. The closing date of the warrant register book : from 12.00 am. of July 16, 2002 to August 6, 2002. 5. The subscription period : During the business day of July 22, 2002 to August 5, 2002 between 9.00 am. to 4.00 pm, otherwise, the warrant holders will not be able to exercise their rights. 6. The exercise date (conversion date) : August 6, 2002. 7. The procedure for the exercise the right of warrants : The warrant holders who intend to exercise their rights have to submit all the required documents as follows: 7.1 Subscription form, completely and accurately filled, which can be obtained at Noble Development Public Company Limited. 7.2 Warrant certificate. The warrant holders without warrant certificate (scripless) shall contact their Finance or Securities Company (Broker) to receive the warrant certificate. 7.3 Copy of identification card or passport (certified true and correct copy) or copy of the Company's affidavit, issued not later than 3 months, in case of corporation. 7.4 Power of Attorney with Baht 10 duty stamp (if any). 7.5 Cheque, cashier cheque or draft that can be cashed in Bangkok only and made payable to "Noble Development Public Company Limited for subscribe newly issued ordinary shares" dated not later than August 6, 2002. 8.
